  • By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
  1. Eligibility
  • You must be at least 13 years old (or the age of digital consent in your location) to use the Service. If you are under 18, you need permission from a parent or legal guardian.
  • If you use the Service on behalf of an organization, you represent you have authority to bind that organization to these Terms.
  1. Accounts and security
  • You are responsible for safeguarding your account credentials and all activity on your account.
  • Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose risk.
  1. Description of the Service
  • The Service provides AI features that generate content and other outputs based on your inputs (“Prompts”) via our models and third-party models (“Outputs”).
  • Features may change or be discontinued at any time.
  1. Acceptable use You agree not to:
  • Violate laws or others’ rights (including IP, privacy, publicity).
  • Upload or generate content that is illegal, harmful, harassing, hateful, discriminatory, or sexually explicit involving minors.
  • Submit personal data of others without a legal basis or consent.
  • Reverse engineer, attempt to extract model weights, or circumvent security or usage limits.
  • Use the Service to develop malware, exploit vulnerabilities, generate spam, scrape non-public data, or for fully automated decision-making affecting legal or similarly significant rights without human oversight.
  • Misrepresent Outputs as human-created where disclosure is required by law.
  1. Your content and license to us
  • “User Content” includes Prompts, files, data, and instructions you provide.
  • You retain ownership of your User Content. You grant Iubisoft a worldwide, non-exclusive, royalty-free license to host, process, reproduce, modify, and display your User Content solely to provide, maintain, secure, and improve the Service.
  • You warrant you have necessary rights to your User Content and that it complies with these Terms.
  1. AI outputs; ownership and responsibility
  • As between you and us, to the extent permitted by law, you own your Outputs. We do not guarantee Outputs are protectable by IP law in your jurisdiction.
  • Outputs may be inaccurate, incomplete, biased, or non-unique. Do not rely on Outputs as professional advice (legal, medical, financial, etc.). Use human judgment and verification.
  • We and our licensors retain all rights in our models, software, and the Service.
  1. Data use and privacy
  • We process User Content and usage data to provide and secure the Service. De-identified, aggregated data may be used to improve features and safety.
  • Do not share highly sensitive personal data or confidential information unless you have proper safeguards and permissions.
  • Our collection and use of personal information are described in our Privacy Policy at [https://iubiai.com/privacy].
  • To request limitations on data use for model improvement (where available), contact: legal@iubisoft.com.
  1. Third-party services and content
  • The Service may integrate third-party models, APIs, or content subject to their own terms and privacy practices. We do not control or endorse third-party services.
  1. Beta features
  • Beta or preview features are experimental, provided “as is,” may contain errors, and may be modified or discontinued at any time.
  1. Usage limits
  • We may impose quotas, rate limits, or usage caps. Do not attempt to exceed or circumvent them.
  1. Payment, subscriptions, and refunds
  • Some features require payment or a subscription. Prices, features, and limits are shown at purchase or on our pricing page.
  • Unless stated otherwise, subscriptions renew automatically until canceled. You authorize recurring charges for fees, taxes, and applicable amounts to your payment method.
  • You may cancel anytime; cancellation takes effect at the end of the current billing period.
  • Fees are non-refundable except where required by law or as stated in our Refund Policy at [https://iubiai.com/refunds].
  • We may change pricing or features with notice effective in the next billing cycle.
  1. Intellectual property
  • The Service (software, models, interfaces, design, and content excluding your User Content) is owned by Iubisoft or its licensors and protected by IP laws.
  • You receive a limited, revocable, non-transferable license to use the Service in accordance with these Terms.
  • Do not remove or alter proprietary notices.
  1. Feedback
  • If you provide feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or compensation.
  1. Confidentiality
  • If we share non-public information with you, you must keep it confidential and use it only as permitted to use the Service.
  1. Compliance, export, and sanctions
  • You must comply with applicable laws, including export control and sanctions laws. You may not use the Service if prohibited by applicable sanctions or trade restrictions.
  1. Copyright/IP infringement notices
  • If you believe material on the Service infringes your rights, email: legal@iubisoft.com with:
    • Your contact information;
    • Identification of the copyrighted work or rights claimed;
    • Identification of the material and its location on the Service;
    • A statement of good-faith belief that the use is not authorized;
    • A statement under penalty of perjury that the information is accurate and you are authorized to act; and
    • Your physical or electronic signature.
  1. Disclaimers
  • The Service and Outputs are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.
  • We do not warrant the Service will be uninterrupted, secure, or error-free.
  1. Limitation of liability
  • To the maximum extent permitted by law, Iubisoft and its affiliates, officers, employees, and licensors are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenues, data, goodwill, or business interruption, arising from or related to your use of or inability to use the Service.
  • To the extent permitted by law, our aggregate liability for all claims relating to the Service will not exceed the greater of: (a) amounts you paid to us for the Service in the 12 months before the event giving rise to liability, or (b) USD $100 (or equivalent).
  1. Indemnification
  • You agree to defend, indemnify, and hold harmless Iubisoft and its affiliates, officers, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.
  1. Suspension and termination
  • You may stop using the Service at any time.
  • We may suspend or terminate access immediately for any reason, including violations, risk to the Service or users, non-payment, or legal requirements.
  • Upon termination, your right to use the Service ends. Sections intended to survive (e.g., IP, disclaimers, limitations, indemnity, governing law) will survive.
  1. Governing law and disputes
  • These Terms are governed by the laws of the Kingdom of Morocco, without regard to conflict-of-laws principles.
  • The courts of Casablanca, Morocco will have exclusive jurisdiction and venue, unless mandatory law specifies otherwise.
  • If you wish to include arbitration or a class action waiver, contact legal@iubisoft.com for an addendum.
  1. Changes to the Service and Terms
  • We may modify the Service or these Terms at any time. For material changes, we will provide notice (e.g., by email or posting on the site), with an effective date. Continued use after that date constitutes acceptance.
  1. Communications
  • We may send service-related communications electronically. For marketing communications, you can opt out as described in our messages.
  1. Children’s use
  • The Service is not directed to children under 13. If we learn we collected personal data from a child under 13 without appropriate consent, we will delete it.
  1. Assignment
  • You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, including in connection with a merger, acquisition, or sale of assets.
  1. Entire agreement; severability; waiver
  • These Terms, together with any policies and addenda referenced, constitute the entire agreement between you and Iubisoft regarding the Service.
  • If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain in effect.
  • Our failure to enforce a provision is not a waiver.
